1. Definitions
1.1 In these terms, "Exhibitor/Sponsor" refers to the individual or entity signing the space/sponsorship application and encompasses all employees or agents involved. "Exhibition/Sponsor" denotes what is described on the reverse side. "The Organizer" refers to ZMZ EVENTS and their local partner in the respective country.

2. Financial Obligations
2.1 In the event that payments for space or sponsorship are not made by the designated due date, the organizers retain the right to levy charges to cover any resulting losses incurred.
2.2 The fee for space or sponsorship does not include any applicable local government or exchange charges and may be subject to adjustment if such charges change. A notice issued and sent by the organizers via recorded delivery to the address provided on the application form or email address shall constitute adequate notification of any amendments to the contract. The contract shall otherwise remain binding in its entirety.
2.3 A 50% down payment must be made within 10 days of signing the contract and the remaining 50% should be settled 4 months before the start of the event.
2.4 Exhibitors are required to settle the net amount due for the stand or space reserved, or sponsorship, upon receipt of the corresponding invoice, net of any bank charges.
2.5 Payments for stand, sponsorship, or any additional services may be made in either the local currency of the event host country or in USD.
2.6 No exhibitor is permitted to set up a stand or space until all outstanding dues owed to the organizers have been settled.

3. Changes, Allocation & Cancellations
3.1 Applications for space and sponsorship must include details of the proposed exhibitor or sponsor. The Organizer reserves the right to deny participation to any exhibitor or sponsor. Upon confirmation, exhibitors must share the names of other companies represented on their stand or whose services will be referenced, via email to the organizer.
3.2 The fee for space or sponsorship excludes any applicable local government or exchange charges and may be adjusted if such charges change. Notification of any amendments to the contract will be provided by the organizers via recorded delivery to the address or email address provided on the application form, with the contract remaining binding otherwise.
3.3 The organizers have full authority to determine the allocation and positioning of space, including the ability to modify the layout or location of any stand, even if previously assigned. Exhibitors are required to accept any new space allocation in place of the originally assigned space.
3.4 However, the organizers must inform exhibitors of any changes at least 7 days prior to the exhibition opening date.
3.5 Upon space allocation, a contract is established between the organizers and the exhibitor, subject to variations as mentioned regarding the allotted space.
3.6 Each exhibitor must occupy their allocated space by the day preceding the exhibition opening.
3.7 Exhibitors are prohibited from assigning, subletting, or licensing any part of their allocated space, and they may only display products, services, and companies listed on the application form. No advertisements for non-exhibiting firms are allowed on any stand.

4. Liability and Indemnity
4.1 The exhibitor assumes full responsibility for any claims, actions, or expenses related to personal injury, property loss, or damage arising from the execution of this contract, occupation of the exhibit space or sponsorship, or presence at the event. This includes, but is not limited to, damage to the venue (including fixtures, fittings, and equipment), loss or damage to other exhibitors, attendees, visitors, or their property resulting from the setup and dismantling of the exhibitor's stand, or any activities permitted or omitted during the event period or setup and dismantling periods, whether directly or indirectly caused by the exhibitor, their representatives, permitted sharers, or any exhibit, product, or article used by them.
4.2 The exhibitor agrees to indemnify and hold harmless the organizer against any claims, losses, damages, legal actions, expenses (including legal fees and costs), and demands arising from the above.
4.3 The exhibitor shall indemnify and hold harmless the organizer against any claims, losses, damages, legal actions, expenses (including legal fees and costs), and demands resulting from the exhibitor's infringement of third-party intellectual property rights, whether knowingly or unknowingly, including the sale or distribution of pirated goods or counterfeits, use of music, audiovisual recordings, or live performances, breach of legal or regulatory requirements, or service of judicial or administrative orders on another exhibitor.
4.4 Exhibitors are fully responsible for the cost of restoring any part of the land or structure occupied by them to its original condition if it has been altered or damaged.
4.5 Exhibitors are solely responsible for obtaining any necessary visas for themselves, their employees, agents, representatives, invitees, or others attending the exhibition. The organizers shall not be liable for any loss or expenses related to visa requirements.


5. Event Changes and Force Majeure
5.1 Under no circumstances shall the exhibitor be entitled to claim damages of any nature against the organizers for any losses or damages resulting from the prevention, postponement, or cancellation of the exhibition due to events outlined in this contract or beyond the organizer's control. If the organizers deem it feasible to rearrange or postpone the exhibition period, relocate to another venue, or take any other reasonable action to proceed with the exhibition, the contracts for space remain binding, subject to determinations regarding size and position by the organizers. The organizer reserves the right to retain any portion of the Exhibitor Service Charge and VAT charges paid, applying them as if no changes in date, venue, or exhibit space relocation had occurred.
5.2 Force Majeure - If, at the organizer's sole discretion and acting reasonably, the venue becomes unfit for occupancy or hosting the event, or if the organizer's obligations under this contract are hindered due to Force Majeure events (defined below), the contract and/or the event (or any part thereof) may be terminated, postponed, and/or relocated by the organizer. The organizer shall not be liable for delays, damages, losses, increased costs, or other unfavorable conditions resulting from Force Majeure events. Force Majeure includes, but is not limited to: fire, casualty, flood, epidemic, pandemic, travel advisories or alerts issued by the World Health Organization, government or local authority regulations or orders, earthquakes, communicable diseases, explosions, blockades, embargoes, inclement weather, governmental restraints, civil defense or military authority orders, acts of public enemies, riots, acts or threats of terrorism, strikes, lockouts, boycotts, labor disturbances, venue cancellations, inability to secure sufficient labor, technical or personnel failures, transportation facility impairments or shortages, inability to obtain necessary supplies or equipment, fuel or energy shortages, local, state, or federal laws, ordinances, rules, orders, decrees, or regulations, whether legislative, executive, or judicial, and whether constitutional or unconstitutional, or acts of God or any other causes not reasonably within the organizer's control.

6. Termination and Payment Retention
6.1 In the event that the Organizer terminates this Contract and/or the Event (or any part thereof) due to Force Majeure, the Organizer reserves the right to retain 20% of any exhibition space or sponsorship payments, plus the prevailing VAT. This amount is necessary to cover expenses incurred up to the time of the Force Majeure occurrence, and thereafter, neither party shall hold further liability. The Organizer shall not be responsible for any costs, damages, fees, or expenses incurred by the Exhibitor due to such termination.

7. Postponement and Relocation
7.1 In the event that the Organizer postpones and/or relocates the Event (or any part thereof) due to Force Majeure, the Organizer has the right to transfer the contract to the rescheduled event dates or alternative events. The Organizer may retain 20% of any payments made, with the remaining balance due from the exhibitor according to the terms and conditions outlined in this Contract. Any outstanding payments from the Exhibitor shall be payable as per the terms of this Contract. Should the Exhibitor choose to cancel participation due to the Organizer's postponement and/or relocation of the Event, standard cancellation terms, as specified below, shall apply. Additionally, the Organizer shall not be held liable for any costs, damages, fees, or expenses incurred by the Exhibitor as a result of such postponement and/or relocation.

8. Tax Obligations
8.1 All exhibitors and sponsors are obligated to pay VAT/GST on the total contract value in accordance with the rules and regulations of the host country, irrespective of their country of origin.



9. Cancellation Terms
9.1 Breach of contract and withdrawal by the exhibitor – Without prejudicing the rights and remedies of the organizers regarding any breach of contract by the exhibitor, the organizers may, at their discretion, permit the exhibitor to withdraw from the exhibition under the following conditions:
9.2 The exhibitor must provide written notice to the organizers expressing their intention to withdraw.
9.3 Any such notification from the organizers to the exhibitor, agreeing towards the response to the written notice will result in the cancellation of the contract, contingent upon the exhibitor paying a consideration to the organizers for release from the contract.
9.4 The amount of this payment will be specified in the organizer's notification to the exhibitor and will be a portion of the space rental/sponsorship as outlined in the table below, based on the date the organizers receive the withdrawal notification from the exhibitor.

9.5 Once the exhibitor pays this specified amount to the organizers (with credit given for all rental already paid by the exhibitor), the contract will be canceled, and neither party will have any further claims against each other.
9.6 If any exhibitor or sponsor declares bankruptcy or if a limited company is wound up, the contract with them will be terminated, and all monies already paid will be retained by the organizers.

10. Safety
10.1 Special emphasis is placed on adhering to relevant safety standards for exhibits involving lasers, radioactive materials, substances emitting noxious fumes, or any other materials posing potential risks to health or safety. Prior written agreement from both the organizers and the exhibitor is required for the use or display of such materials at the exhibition. An exhibitor's manual, providing detailed instructions for organizing the exhibition, will be provided to exhibitors.

11. General Terms
11.1 Stands must be adequately staffed, and exhibits must be on display throughout the duration of the exhibition, while it is open to both trade visitors and the public.
11.2 Exhibits may not be dismantled before the conclusion of the exhibition without written permission from the organizers, which will only be granted under exceptional circumstances.
11.3 Claims: The organizers will only consider complaints or claims if they are submitted in writing to the address provided on the previous page within two weeks of the exhibition's closing date. All disputes and claims will be resolved in the country where the event is held, in accordance with the laws and customs of the host country.
11.4 Photography/Videography: The Organizer reserves the right to photograph any exhibit and may use and edit the images for their purposes.
